Kalshi Traders See 74% Odds Paramount Skydance Completes WBD Deal

Paramount Skydance still looks like the likely buyer of Warner Bros. Discovery, according to prediction-market traders, but the path is getting bumpier. A lawsuit brought by a dozen state attorneys general has raised the stakes — and the odds that the deal falls apart.

On Kalshi, traders put a 74% probability on Paramount completing the acquisition of Warner Bros. by July 2027. That leaves about a 22% chance the deal doesn’t go through by then, according to the platform’s contract prices. The numbers shifted after California and 11 other states sued to block the merger on July 13. Before that legal challenge, odds of success were above 80%.

What Moved the Odds

The probability dipped further when Paramount announced it would delay the acquisition to 2027. On July 24, the likelihood of a successful deal fell as low as 66%. Since then, markets have clawed back some confidence, but the overhang remains.

Kalshi’s contracts ask speculators who will successfully take over Warner Bros. before July 2027, with outcomes resolved using news reports, official press releases, and government filings. A similar market on Polymarket shows 23% odds that no acquisition succeeds by June 30, 2027, based on a consensus of reporting.

Legal and Timing Hurdles

The merger’s termination date is currently March 4, 2027, but that automatically extends to June 4, 2027 if only regulatory obstacles remain. A federal judge has set a March 2027 trial date for the states’ lawsuit. Paramount said it won’t complete the acquisition until the court rules on the states’ claims, or until June 1, 2027, whichever comes first.

There’s also a financial penalty if the deal drags: if it doesn’t close by Sept. 30, Paramount will owe Warner Bros. shareholders 25 cents per share per quarter until the transaction is finalized.

Industry Pressure Builds

Last week, the Directors Guild of America and the International Alliance of Theatrical Stage Employees sent a letter to California Attorney General Rob Bonta — who is leading the states’ case — and Paramount CEO David Ellison. The groups urged both sides to negotiate a solution or push for an earlier trial date, warning that prolonged uncertainty is a problem.

For now, the markets still see the deal as more likely than not. But with a trial looming and quarterly payments ticking up, the window for a smooth close is narrowing.
